These Terms govern your use of the Splitwi$e website, web application, any mobile application we later launch, and the services we provide through them: pooling, order coordination, payment coordination, location-based matching, Split Points and customer support.
We have written them in plain English. Where a term has a specific meaning on Splitwi$e — pool, threshold, order cycle, Split Point — we explain it in the section it belongs to.
1. Who we are
Splitwi$e is a collaborative group-shopping platform for shoppers in Nigeria. We help people who are close to each other combine compatible marketplace purchases so they can reach marketplace order thresholds and share eligible delivery costs.
Through Splitwi$e you can:
- combine compatible marketplace purchases with nearby shoppers
- join an existing pool or create a new one
- reach the marketplace qualification threshold that applies at the time
- share eligible delivery costs where the marketplace and shipping rules allow it
- coordinate the actual marketplace purchase
- track pooled orders
- collect your items at a supported Split Point
The service is operated by the Splitwi$e operator whose final legal identity is pending publication (registration details pending publication), with its registered address pending publication. Where this document says “we”, “us” or “Splitwi$e”, it means that operator.
2. Acceptance of these Terms
You agree to these Terms and acknowledge our Privacy Policy when you create an account, use authenticated features, join a pool, submit an order or make a payment.
We ask for an explicit tick box at sign-up rather than treating browsing as agreement. When you tick it, we record your user ID, the terms version, the privacy version and the time you accepted, so both sides know exactly which version applies to your transactions.
Simply reading a public page does not put you under the purchasing parts of these Terms. Those apply once you take one of the actions above.
3. Eligibility
To use Splitwi$e you must be able to accept these Terms and take responsibility for your own account, orders and payments.
If you use Splitwi$e on behalf of someone else or for a business, you confirm that you are allowed to do so.
4. Your account
You must give accurate information when you register and keep it up to date. This normally includes your name, email address, phone number, location and the credentials you use to sign in.
- keep your password and any one-time codes private
- tell us promptly if you believe someone else has accessed your account
- do not impersonate another person or create an account in someone else's name
We may restrict or suspend an account where we reasonably detect fraud, abuse, a security problem or a legal issue. We do not claim an unlimited right to close accounts for no reason, and we will tell you the reason where it is reasonable and lawful to do so.
5. What Splitwi$e is — and is not
Splitwi$e helps nearby shoppers buy together. In plain terms, we:
- group your order with other compatible orders into a pool
- collect everyone's payment and place the combined order with the marketplace
- arrange delivery to a shared collection point (a Split Point) near you
In short: we organise the group purchase, handle the money safely, and help the items get to you.
Splitwi$e is not Temu, Jumia, Konga, Amazon, SHEIN or any other third-party marketplace, and we are not the seller of the products those marketplaces list. Products you buy through a pool remain subject to the terms of the relevant marketplace and seller, in addition to these Terms.
All third-party names, trademarks, logos and product names belong to their respective owners. Their appearance on Splitwi$e does not imply sponsorship or endorsement unless expressly stated.
6. Marketplace independence and capabilities
Supported marketplaces may include Temu, Jumia, Konga, Amazon, SHEIN and others we add later. Support is not uniform: a feature that exists for one marketplace may not exist for another.
We do not promise automated ordering, live product lookup, price verification, variant checking or tracking integration for any marketplace unless that capability is actually switched on. The capabilities that are live right now are listed on the marketplaces page, which reflects the platform configuration rather than a marketing claim.
7. Product information
Product information shown on Splitwi$e may come from marketplace interfaces, approved data providers, the seller's own page, or checks carried out by a Splitwi$e operator.
It can include the product title, image, price, stock status, variant, seller and availability. Marketplace information changes frequently, and we re-check it where that is technically supported for the marketplace in question.
We cannot guarantee that a price, a variant or stock availability will stay the same between the moment you add an item and the moment the purchase is made.
8. Product links you submit
You can add items by submitting a marketplace product URL. Before you confirm, you are responsible for checking:
- the product itself
- the seller
- the variant
- size
- colour
- quantity
We may clean up the links you paste — for example by removing tracking and referral parameters — so the link points at the product page itself.
You must not submit links that are malicious, fraudulent, misleading, or that point to an unsupported or prohibited destination.
9. Pools
A pool is a group of compatible shopper orders. Compatibility depends on things like the marketplace, your geography and delivery area, the Split Point, the order cycle and the rules attached to the pool.
- you can join an existing pool that you are eligible for
- you can create a pool where the platform allows it
- you can leave or cancel where the stage of the pool still permits it
10. Threshold pools
A threshold is a minimum qualification amount. It is not the maximum size of a pool and it is not a cap on how many people can join.
Once a pool has reached its threshold, it may keep accepting eligible participants until its order cycle cutoff. Reaching the minimum does not close the pool.
Thresholds are set by the marketplace and can change. The figure that applies to you is the applicable marketplace threshold shown in the app at the time, not a number written into this document.
11. Delivery-split pools
Some pools exist so that participants can share eligible delivery charges rather than to reach a purchase threshold.
Actual savings depend on the marketplace, the seller and the shipping rules that apply to the specific order. We do not guarantee a saving. The delivery amount allocated to you is disclosed before you pay.
12. How pools are matched to you
To suggest pools, we may use the marketplace, the product, your basket amount, your approximate location, distance, the Split Point, the cutoff, the order cycle and the pool's current status.
These suggestions are operational matches, not guarantees. Where more than one eligible pool is available, you may choose a different one rather than the one ranked first.
13. Location
We may use your precise location internally to match you with nearby pools and Split Points. Other shoppers do not receive your exact coordinates or your home address.
Other participants may see an approximate distance, a general area, a campus or community, and the Split Point for the pool.
Location accuracy depends on your device, browser and network provider. You can enter or adjust your location manually. How we handle location data is explained in the Privacy Policy.
14. Order cycles
Pooled orders are processed in scheduled order cycles. The stages are:
- Order cycle — the scheduled window during which a pool collects items.
- Cutoff — the moment the pool stops accepting changes for that cycle.
- Qualification — the pool has met the applicable minimum.
- Locked — the manifest is fixed and being prepared for purchase.
- Processing — the marketplace purchase and fulfilment are under way.
Reaching a threshold does not trigger an immediate purchase. The pool must also satisfy the cycle and cutoff rules that apply to it.
15. Operator-assisted ordering
Not all ordering is automated. Where a marketplace has no approved automated buyer integration, an authorised Splitwi$e operator completes the marketplace checkout manually, working from the pool's confirmed order manifest.
After the purchase we record the marketplace order reference, the amount charged, the timestamp, and tracking information where the marketplace makes it available.
16. Pricing and what you are charged
Before you pay, you will see:
- the product amount
- your share of the delivery or shipping allocation
- the Splitwi$e service fee
- any other charge that applies
- the total
Every required charge is shown before payment. We do not add hidden service fees. Money you pay towards the product itself is intended for the marketplace purchase and is not Splitwi$e revenue.
17. Price changes
A marketplace price can change between the moment an item is checked, the moment you pay, and the moment the purchase is completed.
If the price goes up, we will not silently charge you more. Depending on the situation you may be offered options such as paying the difference, removing the item, moving it to a later cycle, or cancelling where that is still possible.
If the price goes down, the applicable treatment — refund, credit or an adjusted charge — will be shown to you before checkout. We are not stating a fixed rule here because the handling depends on the marketplace and on the stage the order has reached.
18. Stock and variant changes
If an item becomes unavailable or the variant you chose runs out, we may:
- pause the item
- ask you to choose another variant
- remove the item from the manifest
- refund or release the amount that relates to it
- move it to a later order cycle
Which of these happens depends on your choice and on marketplace conditions. We never substitute a different product, size, colour or variant without your authorisation.
19. Payments
Payments are processed by our third-party payment provider, which is licensed to handle payments. Splitwi$e does not take card details on its own systems.
A payment goes through authorisation with the provider, then server-side verification on our side using the provider's reference and webhook confirmation. A payment is only treated as successful after that server-side verification. If a transaction fails, no pooled order is confirmed on the strength of it.
20. Payment security
Card details are handled directly by the payment provider. We keep only transaction metadata: the reference, amount, currency, payment status, provider and timestamps.
We take security seriously, but we do not claim to hold any payment-industry certification that has not been independently verified for us.
21. Service fees
Splitwi$e may charge a service fee for coordinating a pooled order. The fee is disclosed before you pay.
We may change fees going forward. A changed fee applies to future transactions only — it is never applied retroactively to a transaction you have already confirmed.
22. Refunds
A refund or release of funds may arise where:
- an item turns out to be unavailable
- you cancel because of a price change
- the marketplace checkout fails
- a duplicate payment was taken
- you cancel an order at a stage where cancellation is permitted
- an item arrives missing, damaged or incorrect, where that applies
How long a refund takes depends on the payment provider, your bank, the marketplace, and whether an investigation is needed. Rather than promise a fixed number of days we have not committed to operationally, we show or send you an estimated timeline for your specific case.
Nothing in this section removes or reduces a refund or remedy you are entitled to under Nigerian law.
23. Cancellations
Your cancellation rights depend on the stage the pool has reached:
- before the cutoff — you can normally remove an item or leave the pool
- after the cutoff — changes may be limited while the manifest is being finalised
- after the pool is locked — the order is being prepared for purchase and cancellation may not be possible
- after the marketplace order is placed — marketplace and seller rules apply, and we help you pursue them
Any restriction that will apply to you is shown before you pay. We do not operate a blanket “all sales are final” rule.
24. Your consumer rights
Nothing in these Terms excludes or limits any consumer right that cannot lawfully be excluded or limited under applicable Nigerian law. That includes rights relating to fraud, misrepresentation, defective or unsafe goods, and legally protected refunds and remedies.
25. Marketplace returns
The marketplace's and the seller's own return policies may also apply to your item. We can help you coordinate a return, but what is practically possible depends on the marketplace, the seller, the type of product, the reason for the return and your rights under applicable law.
26. Delivery and delays
Delivery dates shown on Splitwi$e are estimates. Delays can be caused by the marketplace, the seller, a carrier, customs, weather, public events or other operational disruptions.
We will tell you about a material delay once we know about it. Where a delay is caused by Splitwi$e itself, we do not disclaim responsibility for it.
27. Split Points
A Split Point is a designated collection location that serves a pool. You may be required to collect your items there rather than receive an individual home delivery.
- each Split Point has its own operating hours
- you will need your collection code
- identity verification may be required where appropriate
The exact collection procedure for your order is shown in the app.
28. Collection codes
Your collection token or QR code is confidential. Do not share it with anyone who is not collecting on your behalf with your permission.
An order is only marked as collected after the code has been properly verified. If your code is lost or you think someone else has it, contact support through the Help page until the final support address is published so it can be invalidated and reissued.
29. If items are not collected
If your items stay uncollected, we will try to contact you, apply any storage or handling rule that has been disclosed to you in advance, and where feasible arrange a return.
There are no storage fees today. If a storage or handling charge is ever introduced, it will be disclosed to you before it can apply to your order.
30. Pool chat
Pool chat exists so participants can coordinate an order. The following are not allowed:
- harassment or threats
- hate speech
- fraud or scams
- spam
- illegal content
- posting someone else's personal details, including their exact home location
- asking other members to pay you outside Splitwi$e
We may moderate or remove content where it is necessary to keep the service safe and lawful.
31. Prohibited use
You must not use Splitwi$e for:
- fraud or payment abuse
- using stolen cards or someone else's payment credentials
- false identities
- getting round marketplace restrictions you are subject to
- unauthorised automation against the platform
- malicious links or malware
- attacks on the security of the platform
- scraping other users' protected data
- harassment of other users or staff
- money laundering
- illegal or otherwise prohibited goods
Ordinary, honest shopping use of the platform is of course permitted — this list targets abuse, not normal activity.
32. Fraud and risk controls
Where fraud or security indicators arise, we may review a transaction or an account, and temporarily hold or limit certain actions where that is reasonably necessary for security, fraud prevention, a payment investigation or legal compliance. Any hold will be proportionate to the concern and lifted once the concern is resolved.
33. Third-party services
Running Splitwi$e depends on third parties, including:
- marketplaces and sellers
- payment processors
- Google Maps and Places, for location and Split Point information
- cloud hosting and database providers
- communications providers, for email and notifications
- product-data providers, where enabled
- logistics providers and Split Point hosts
- analytics providers, where enabled and permitted
When you interact with one of these services, that provider's own terms may also apply to you.
34. Intellectual property
The Splitwi$e brand, software, interface design and original content belong to us or our licensors.
Marketplace logos, product images and seller content belong to their respective owners and licensors, and nothing here transfers any right in them to us or to you.
35. Content you submit
You keep ownership of what you submit — chat messages, product links, support messages and similar content. You grant us only the limited licence we need to display, store, process and moderate that content in order to run the service. We do not claim perpetual or exclusive ownership of your content.
36. Service availability
The service may occasionally be unavailable because of maintenance, a provider outage, a third-party failure or a security event. We do not promise uninterrupted or error-free availability, and we do not guarantee 100% uptime.
37. Restriction and suspension of accounts
We may restrict or suspend an account proportionately where there is fraud, a security threat, a serious breach of these Terms, or a legal or regulatory requirement.
Where it is reasonable and lawful, we will tell you why. You can challenge a restriction by contacting support through the Help page until the final support address is published, and a person — not an automated process — will review it.
38. Limitation of liability
Splitwi$e is responsible for the platform and the coordination services we provide. We are not responsible for the independent conduct of a marketplace or a seller — for instance the quality of a product listed by a third-party seller — although we will help you pursue it.
Where liability may lawfully be limited, our liability to you for a pooled order is limited to amounts connected with that order and any fee you paid us for it, and we are not liable for indirect or consequential loss.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded, including liability for fraud, for death or personal injury caused by negligence, or under mandatory consumer protection law.
39. Indemnity
If you use Splitwi$e fraudulently or unlawfully, or you materially breach these Terms, you agree to cover losses we suffer that arise directly from that conduct. This does not apply to Splitwi$e's own negligence, fraud, unlawful conduct or statutory obligations, and it does not affect your consumer rights.
40. Disputes and support
If something goes wrong, raise it with us first. You can open a dispute from your Orders page, and we will investigate and keep you updated.
You can also contact support through the Help page until the final support address is published.
Using our internal process is not a condition of your legal rights. You remain free to complain to a regulator, a consumer protection authority or a court, and nothing here asks you to waive that.
41. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable law and any mandatory consumer rights. We have not specified an exclusive court or forum, and nothing here restricts a court that would otherwise have jurisdiction over a dispute with you.
42. Changes to these Terms
We may revise these Terms. If a change is material, we will communicate it and publish a new effective date and version number.
Each version is stored, so the version you accepted for a past transaction stays on record. Changes are not applied retroactively to transactions you already confirmed where that would be inappropriate.
